Terms and Conditions for Locum Square

1. Acceptance of Terms

Welcome to Locum Square! These Terms and Conditions ("Terms") govern your access to and use of the Locum Square website, platform, and services (collectively, the "Service"), provided by Locum Square,("Locum Square," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms and all policies and guidelines incorporated by reference. If you do not agree to all of these Terms, do not use the Service.

2. Description of Service

Locum Square provides an online platform that connects healthcare facilities ("Facilities") with qualified locum professionals ("Providers," including Physicians, Physician Assistants, Nurse Practitioners, and CRNAs) for temporary and temp-to-perm staffing assignments. Our Service includes:

• Profile creation and management for both Facilities and Providers.
• Intelligent matching of Providers to open positions based on specialty, location, and other criteria.
• Logistical support, including assistance with credentialing, scheduling, and travel arrangements.

Locum Square is a platform and is not a party to any employment or independent contractor agreement between a Facility and a Provider. We do not employ the Providers, and we are not responsible for the supervision, direction, or control of the Providers' work or the quality of care provided.

3. User Accounts and Registration

3.1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms.

3.2. Account Information

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify Locum Square immediately of any unauthorized use of your password or account.

3.3. Provider-Specific Terms

Providers must maintain valid and current licenses, certifications, and credentials required for their specialty and the location of any assignment. While Locum Square assists with credentialing logistics, the Provider is solely responsible for the accuracy and validity of all professional information and for ensuring they are legally qualified to perform the services.

3.4. Facility-Specific Terms

Facilities are responsible for providing accurate and complete job descriptions, facility information, and requirements for all posted positions. Facilities are responsible for conducting their own due diligence on Providers and for all final hiring decisions.

4. User Content and Conduct

4.1. User Content

You are solely responsible for all content, including profiles, job postings, messages, and other materials ("User Content") that you upload, post, or otherwise transmit via the Service. You grant Locum Square a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your User Content in connection with the Service.

5. Mobile Texting Terms and Conditions

By providing your mobile phone number and opting in, you consent to receive marketing and informational text messages from Locum Square regarding open assignments, platform updates, and general information about our services.

• Message Frequency: Message frequency will vary.
• Message and Data Rates : Message and data rates may apply.
• STOP : Text STOP to the designated short code (to be provided) to stop receiving marketing messages (you will receive a confirmation text).
• HELP : Text HELP to the designated short code for additional information or contact us directly.
• Consent : Consent to receive marketing text messages is not required as a condition of purchasing or utilizing any goods or services offered by Locum Square.

6. Disclaimers and Limitation of Liabilitys

6.1. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. Locum Square does not warrant that the Service will be uninterrupted, error-free, or secure. Locum Square makes no representations or warranties regarding the suitability, reliability, timeliness, or accuracy of the Providers or Facilities on the platform.

6.2. Limitation of Liability

To the fullest extent permitted by applicable law, Locum Square shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties; or (c) any unauthorized access, use, or alteration of your transmissions or content.

7. Indemnification

You agree to indemnify, defend, and hold harmless Locum Square, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including without limitation any intellectual property right or privacy right.

8. Governing Law

These Terms shall be governed by the laws of the State without regard to its conflict of law provisions.

9. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will notify you by revising the date at the top of the Terms and, in some cases, we may provide you with additional notice (such as adding a statement to our homepage or sending you an email notification). Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the terms.
